KG7SPL of CORVALLIS POST #91,
THE AMERICAN LEGION,
DEPARTMENT OF MONTANA, INC.
BY-LAWS
ARTICLE I
Sec. 1. The Club existing under these By-Laws is to be known as KG7SPL of CORVALLIS POST #91, THE AMERICAN LEGION, DEPARTMENT OF MONTANA, INC (hereinafter referred to as KG7SPL).
Sec. 2. The Headquarters of the American Legion encourages each Post to establish an
amateur radio club as a subsidiary activity of the Post.
a. The Officers and members of CORVALLIS POST #91 THE AMERICAN LEGION, DEPARTMENT OF MONTANA, INC. have authorized the creation of an amateur radio club as a membership activity.
Sec. 3. The objectives of KG7SPL are:
a. To promote interest in and the advancement of amateur radio, and electronics in general.
b. To promote a good relationship between American Legion members who are licensed radio amateurs and the public through public service activities.
c. To help interested persons obtain an FCC Amateur Radio License and current licensees to upgrade their licenses.
d. To participate in activities involving or for amateur radio.
e. To be prepared to respond in cases of declared emergencies or disasters and
to offer amateur radio communications where necessary.
Sec. 4. The principal office location for the KG7SPL shall be the same location as the Post.
ARTICLE II – MANAGEMENT
Sec. 1. The government and management of KG7SPL are entrusted to an Executive
Committee of 7 members, to be known as the “EXECUTIVE COMMITTEE.”
Sec. 2. The Executive Committee shall consist of 7 members.
a. 1 Executive Committee member in addition to the 5 officers of KG7SPL (KG7SPL President, KG7SPL Technical Vice President, KG7SPL Communication Vice President, KG7SPL Administrative Vice President, KG7SPL Finance Officer) shall be elected annually on the first Monday of May and take office at the July meeting following the election.
b. The Junior Past President is the only nonelected Executive Committee member.
c. All elections of officers and the executive committee member shall be by ballot and the candidate or candidates receiving the highest number of votes shall be elected to the respective office or offices for which they are candidates.
Sec. 3. All vacancies existing in the Executive Committee, or in any office of KG7SPL from any cause other than the expiration of the term, shall be filled by a majority vote of the remaining members of the committee, and a person so appointed shall hold office for the unexpired term of the member of the committee or officer who succeeded.
a. A vacancy shall exist when a member or officer is absent from KG7SPL for a continuous period considered detrimental to the interest of KG7SPL by the Executive Committee.
Sec. 4. A term of office for officers shall be two (2) years.
a. No officer shall hold the same office for 2 consecutive terms.
Sec. 5. Individual KG7SPL members elected to serve may hold different offices over time if so, elected by the membership.
ARTICLE III – KG7SPL EXECUTIVE COMMITTEE
Sec. 1. The KG7SPL Executive Committee shall meet for organization and such other business as may come before it at the call of the KG7SPL President within ten (10) days after the installation of the new officers.
a. Thereafter the KG7SPL Executive Committee shall meet at the call of the KG7SPL President at least every third month and as often as said president may deem necessary.
b. The president shall call a meeting of the KG7SPL Executive Committee upon the joint written request of three or more members of said KG7SPL Executive Committee, three members of the committee shall constitute a quorum thereof.
Sec. 2. The KG7SPL Executive Committee shall hire such employees as may be necessary; shall authorize and approve all expenditures; shall require adequate bonds from all persons having the custody of KG7SPL funds; shall hear the reports of KG7SPL committee chairs; and generally, shall have charge of and be responsible for the management of the affairs of KG7SPL.
ARTICLE IV – DUTIES OF OFFICERS
Sec. 1. DUTIES OF KG7SPL PRESIDENT.
a. It shall be the duty of the KG7SPL president to preside at all meetings of KG7SPL and to have general supervision over the business and affairs of KG7SPL, and such officer shall be the chief executive officer of KG7SPL.
b. The president shall approve all orders directing the disbursement of funds and shall make an annual report covering the business of KG7SPL for the year, and recommendations for the ensuing year, which shall be read at the July meeting and a copy thereof immediately forwarded to the Post’s adjutant.
c. The President shall perform such other duties as directed by KG7SPL.
d. The President shall report to membership of KG7SPL on club activities,
events, and general status.
e. Report on the activities, events, and general status of KG7SPL to the Post Officers.
f. Appoint 2 or more members of KG7SPL to the Finance Committee to audit the club account books and to conduct a detailed inventory.
g. Sign as required, all contracts or written instruments on behalf of KG7SPL.
h. Represent KG7SPL for social or business contacts when required.
i. Represent the Club for social or business contacts when required.
j. Monitor and coordinate with the American Legion’s headquarters Amateur Radio Club and report to the members all Amateur Radio activities conducted by the American Legion.
k. Establish and maintain a working relationship with all local Amateur Radio (Ham) clubs on behalf of KG7SPL.
l. Perform incidental duties not herein specified.
Sec. 2. DUTIES OF KG7SPL TECHNICAL VICE PRESIDENT.
a. The KG7SPL Technical Vice President shall assume and discharge the duties of the office of KG7SPL president in the absence or disability of, or when called upon by the KG7SPL president.
b. The technical vice president will have general supervision over the Education Committee and the Equipment Committee.
c. Arrange and publish the agenda for each KG7SPL meeting, for guest speakers, and for induction of new members.
Sec. 3 DUTIES OF KG7SPL COMMUNICATIONS VICE PRESIDENT.
a. The KG7SPL Communications Vice President provides the programs for the meetings and to attract attendance.
b. The Communications Vice President will have general supervision over the Emergency Communications Committee and the Personal Communications Committee.
Sec 4. DUTIES OF KG7SPL ADMINISTRATION VICE PRESIDENT.
a. The Administration Vice President shall have charge of and keep a full and correct record of all proceedings of all meetings, keep such records as the Post and National Organizations may require, render reports of membership annually or when called upon at a meeting, and under direction of the president handle all correspondence of KG7SPL.
b. The Administration Vice President will have general supervision over the Membership Committee and the Club Committee.
c. Receive and send all club correspondence.
d. Read all correspondence of general interest to the members at regular or Executive Committee meetings
Sec. 5. DUTIES OF KG7SPL FINANCE OFFICER.
a. The Finance Officer of KG7SPL shall have charge of all finances and see that they are safely deposited in some local bank or banks and shall report once a month to the Executive Committee the condition of the finances of KG7SPL, with such recommendations as he may deem expedient or necessary for raising funds with which to carry on the activities of KG7SPL.
b. The Finance Officer shall sign all checks disbursing the monies of KG7SPL and shall furnish such surety bonds in such sum as shall be fixed by the KG7SPL Executive Committee.
c. The Finance Officer will conduct a semi-annual inventory of KG7SPL’s equipment for the Executive Committee.
d. Keep a written record of all monies and donated supplies, or equipment received or expended by KG7SPL.
e. Work with the Finance Committee to develop a proposed annual KG7SPL budget and submit it to the Executive Committee for approval prior to the last meeting of May.
f. The Executive Committee may elect to conduct all finances through the Post and the Post’s Finance Officer, who shall develop a chart of accounts to accomplish that process.
g. Alternately, the Executive Committee may elect to conduct all finances internally to the KG7SPL, maintaining its own bank accounts.
h. The KG7SPL Finance Officer shall be responsible for all financial operations.
i. The KG7SPL Finance Officer shall initiate checks for normal monthly expenses and have them properly signed.
j. Checks for $250 or less or for “normal” expenses (i.e., those annually occurring expenses) may be independently issued by the KG7SPL Finance Officer.
k. Checks for expenses over $250, that are not for normal expenses, shall have either the approval of the Executive Committee or the approval of the KG7SPL membership at a general meeting.
l. Maintain the club's bank accounts only at banks approved by the Executive Committee.
m. A signature card shall be kept by the bank showing the signatures of the current President, Technical Vice President, and Finance Officer.
n. Provide a monthly report on the financial condition of KG7SPL-to-KG7SPL members.
o. Maintain an accurate list of all physical assets of the club and their present location
Sec.6 DUTIES OF KG7SPL JUNIOR PAST PRESIDENT.
a. Junior Past President is the chairman of the Past Presidents' Advisory Committee.
b. Its primary purpose is social (meeting at a minimum of four times a year) and the retention of good fellowship among those who have served as KG7SPL presidents.
c. This Committee is a wealth of knowledge, know-how for the KG7SPL president.
d. The junior past president is also on the KG7SPL executive committee
ARTICLE V – ELIGIBILITY FOR OFFICE
Sec. 1. All members in good standing with the American Legion Family organizations and the Post, at least twenty-one (21) years of age, and licensed by the FCC as amateur radio operators of any classification, shall be eligible to hold any of the offices, except that no individual shall hold more than one elected office at any one time.
ARTICLE VI – APPOINTMENTS
Sec. 1. The KG7KGL President, immediately upon taking office each year, shall appoint the following standing committees and sub committees:
a. Education Committee
Sub Committees – Licenses, Morse Code, Testing, Radio Art
b. Equipment Committee
Sub Committee – Repeaters, Club Station, Antennas
c. Emergency Communications Committee
Sub Committee – Local, State, National
d. Personal Communications Committee
Sub Committee – Contesting, Awards Programs, Prepping
e. Membership Committee
Sub Committee – Nominations, Historical Records, Legislative
f. KG7SPL Committee
Sub Committee - Public Relations, Special Events, Summer Field Day, Winter Field Day
g. Finance Committee
Sub Committee - Fundraising
h. Such standing committees shall consist of such members, and the chairman thereof, as shall be designated by the KG7SPL President.
Sec. 2. Education Committee
a. Sub Committees
Licenses - Assists members to obtain and/or upgrade their licenses.
Morse Code
Testing
Radio Art - When sufficient interest exists, hold classes on such issues as
antenna design, frequencies, packet radio operations, and other such subjects.
Mentoring - Select / assign a mentor for each new member.
Assists members with technical problems relating to equipment setup and operation.
Sec. 3. Equipment Committee
a. Advises KG7SPL on equipment and technical setup of the Club’s communications center.

Sec. 6. Membership Committee
a. Prepare an annual list of qualified KG7SPL members, ensuring that all are also qualified as Post members after the August regular meeting.
b. The list shall include the name, call identifier, address, telephone numbers and email address of each KG7SPL member.
c. The list shall also include all Unlicensed KG7SPL members.
d. The list shall be submitted to the Executive Committee, and the Post Adjutant.
e. Maintain and update the membership list throughout the year, ensuring the Executive Committee and the Post Adjutant have copies.
f. If a KG7SPL newsletter is authorized, the Membership Chair shall be responsible for its preparation and distribution.
g. The Membership Chair shall develop a mailing list and ensure copies are made and mailed or emailed to each qualified Club member and to other persons and organizations on the list.
h. Provide a copy of the newsletter to the Post Historian for permanent record.
i. Maintain a file copy of each bulletin in the Chair’s records.
j. Provide copies of the club bulletin to meeting visitors.
k. Prepare membership promotional materials; organize and conduct membership drives.
l. Contact all new members and provide them with a welcome letter that outlines the structure and operations of KG7SPL.
m. At the July meeting issue every new member with a hat, a pin, a certificate, and a TALARC brochure.
n. Welcome members and visitors to the meeting and answer any questions they may have about KG7SPL.
o. Sub Committees
Nominations - A committee of KG7SPL members selected to recruit individuals interested in serving as an Officer of KG7SPL, and to propose a slate of candidates for consideration by KG7SPL members for KG7SPL Officers for the next two (2) years.
Historical Records
Legislative - The Legislative Committee needs to have a knowledge of what is going on in Congress and the regulatory agencies – when we favor or oppose and should be ready to initiate action in support of our position.
Sec 7. KG7SPL Committee
a. Sub Committee
Activities – Organize and conduct club activities such as picnics and or camping trips for the enjoyment of the members.
Obtain prizes for and run a raffle at regular KG7SPL meetings.
Select prizes of general value to radio amateurs and when possible solicit prize donations from retailers or manufacturers, striving to maintain a net positive cash flow from the raffle activities.
Provide refreshments at each of the regular club meetings (if no host is not available).
Public Relations – The Public Relations Committee shall be charged with the promotion of public support of KG7SPL’s programs by the establishment of proper contact with The American Legion Magazine, Department Newspaper, TALARC, QST, Amateur Radio Blogs, National and Local news service and by local publicity of KG7KGL programs and activities.
Work with the Activities Committee to develop an annual promotional / publicity calendar.
Contact and get published in local newspapers as needed announcements of club activities and community service events.
Work with the KG7SPL Membership Committee and the Post Officers to recruit new members to the Post and subsequently to KG7SPL.
Special Events
Summer Field Day - Acts as lead organizers of KG7SPL’s annual Summer Field Day.
A committee of interested members who will work with the Emergency Communications Committee, Equipment Committee, and the Contesting sub committee to organize and run the annual Summer Field Day.
Winter Field Day - Acts as lead organizers of KG7SPL’s annual Winter Field Day.
A committee of interested members who will work with the Emergency Communications Committee, Equipment Committee, and the Contesting subcommittee to organize and run the annual Winter Field Day.
Sec. 8. Finance Committee.
a. The Finance Committee shall be charged with the administration of the accounting of all KG7SPL Funds.
b. The Finance Committee consisting of club members technically proficient in budgets and finance.
c. The duty of the Finance Committee shall be to advise KG7SPL’s Finance officer in development of a KG7SPL budget; to annually audit the Club account books and verify the inventory of the Club; to report their findings to the Club no later than the last meeting in
March and to the Board of Directors no later than the last Post meeting in April of each year; and to perform other duties as required by the President or the Board.
d. Sub Committee – Fundraising
Sec. 9. The KG7SPL President may establish additional committees and sub-committees
as necessary to serve the best interests of KG7SPL.
Sec. 10. The Chairs of the various committees shall be appointed by the KG7SPL President and confirmed by the Executive Committee and shall not be considered officers of the Club.
Sec. 11. All activities of the committees shall first be authorized by the Executive Committee of KG7SPL, and reports on those activities shall be made to the KG7SPL membership each month.
ARTICLE VII – RESOLUTIONS
Sec. 1. All resolutions of state or national scope presented to KG7KGL by a member or reported to KG7KGL by a committee shall merely embody the opinion of KG7SPL on the subject and copy of same shall be forwarded to the Post Executive Committee for its approval before any publicity is given or action other than mere passage by KG7SPL is taken.
ARTICLE VIII – MEETINGS
Sec. 1 The regular meeting of KG7SPL shall be held at the BJs club room on the first Monday, at which may be transacted such business as may properly be brought up for action; such meetings may be converted into educational or entertainment meetings, as may be deemed advisable by the officers of KG7SPL.
Sec. 2. The KG7SPL President or a majority of the Executive Committee shall have power to call a special meeting of KG7SPL at any time.
Sec. 3. Upon the written request of three (3) members, the Executive Committee shall call a special meeting of KG7SPL.
Sec. 4. Six (6) members shall constitute a quorum
Sec. 5. KG7SPL will conduct quarterly field communications training exercises.

ARTICLE IX – NOTICES
Sec. 1. Every member shall furnish the KG7SPL Administration Vice President with his or her address for mailing purposes.
Sec 2. The KG7SPL Administration Vice President shall cause notice of the annual election to be given at least two weeks prior thereto.
ARTICLE X – RULES OF ORDER
Sec. 1. All proceedings of KG7SPL shall be conducted under and pursuant to Roberts’ Rules of Order, except as herein otherwise provided.
ARTICLE XI – AMENDMENTS
Sec. 1. These By-Laws may be amended at any regular KG7SPL meeting by a vote of two-thirds of the members of said KG7SPL attending such regular meeting: Provided that the proposed amendment shall have been submitted in writing and read at the next preceding regular meeting of said KG7SPL; and, provided further, that written notice shall have been given to all members at least seven (7) days in advance of the date when such amendment is to be voted upon, notifying said members that at such meeting a proposal to amend the By-Laws is to be voted upon.
ARTICLE XII – KG7SPL LICENSE TRUSTEE
Sec. 1. In accordance with FCC rules and regulations, the Executive Committee of the Post will annually select or reaffirm one Post member, who is licensed as an Amateur Radio General Operator by the FCC, to be the official KG7SPL License Trustee – the official representative of the Post to KG7SPL and official holder of the KG7SPL FCC License.
ARTICLE XIII – LONG TERM APPOINTMENTS
Sec. 1. Long term appointments of key individuals shall be made by the KG7SPL President when necessary.
a. These appointments shall be for an indefinite period preferably for several years and should only be given to members who are able to perform the specific requirements of the job.
Sec. 2. KG7SPL HISTORIAN:
The Club Historian shall maintain records and all other items of historical value to the club and ensure a copy of such items be filed with the Post Historian.
Sec. 3. LICENSE TRUSTEE:
The KG7SPL License Trustee shall be appointed by the Officers of the Post and shall hold a General or higher amateur license.
a. The Trustee shall be responsible for the club call and shall file renewal forms with the FCC when required.
Sec. 4. OTHER:
a. Other appointments may be made as necessary, such as KG7SPL net control operators.
ARTICLE XIV – MEMBERS
Sec. 1. Members of KG7SPL shall be members in American Legion Family organizations, of good moral character who have an interest in amateur radio
and/or electronics, have an interest in the aims of the club, and be willing to
voluntarily respond to and assist during declarations of emergencies or
disasters.
a. Such persons may become members of the club, provided they also meet other requirements of the Bylaws.
b. There are no dues for membership in the KG7SPL unless approved by an
affirmative vote of 2/3 majority of the members attending a regularly scheduled
meeting of KG7SPL.
c. Prior to such dues being imposed, they must first be approved by the Post Executive Committee.
d. Each member is responsible for notifying both the Post Adjutant and KG7SPL’s Membership Chairman of any change of address or other contact information.
e. The Executive Committee may expel or suspend a member by unanimous vote at an Executive Committee meeting under the following conditions:
Failure to discharge debts to the Club, including dues.
Conduct detrimental to the welfare, interest, character, or order of the Club.
Conviction of a violation of the FCC rules resulting in the suspension or cancellation of the amateur radio license.
f. The Executive Committee may reinstate any expelled or suspended member by a unanimous vote at a Board meeting.
g. Members who have been expelled or suspended or who voluntarily withdraw from the club have no recourse on club assets or property; real or otherwise.
h. There are two types of members:
Licensed Members have full privileges.
Unlicensed Members cannot vote and cannot be an officer.
ARTICLE XV – DONATIONS, OPERATIONS, DISOLUTION
Sec. 1. In the event of the dissolution of KG7SPL, the assets of KG7SPL shall become the assets of the Post and may be sold as a fundraiser for a designated community service project or donated by the officers of the Post to one or more non-profit organizations in such manner as defined in Post bylaws.
ARTICLE XVI – SEVERABILITY
Sec. 1. If any provision of these Bylaws or their application to any person or circumstance is held to be invalid, the invalidity does not affect other provisions or applications of the Bylaws which can be given effect without the invalid provision or application, and to this end the provisions of the Bylaws are severable.
ADOPTION OF BYLAWS
These Bylaws have been reviewed, discussed, and adopted on _________ by a majority of the Executive Committee of CORVALLIS POST #91, THE AMERICAN LEGION, DEPARTMENT OF MONTANA, INC. in accordance with the Articles adopted by the Executive Committee of Post 91.
